To approve the nomination of members of the Council to outside bodies where there is insufficient time or opportunity to refer to the Council. |

To keep under review the policy in relation to and monitoring of level of complaints. |

To approve the appointment of staff with the exception of the appointment of the Town Clerk, to posts previously approved by the Town Council. |

To review its Terms of Reference at least annually. |

| 2 Referred Business |
| 2.1 |
To keep under review and advise Council where necessary on the numbers and grades of all staff, except the Town Clerk, including pay, expenses, superannuation, training, conditions of service, promotion, discipline, dismissal, redundancy, extension of service and dealings with relevant joint negotiating bodies and unions. |
| 2.2 |
To consider and make recommendations to Council on parliamentary and electoral matters and constitutional matters affecting the Town Council’s area. |
| 2.3 |
To make recommendations to Council on the election of Mayor and Deputy Mayor. |
| 2.4 |
To keep under review and advise Council on all matters relating to Civic events and functions. |
| 2.5 |
To keep under review and advise Council on all matters relating to Civic insignia and ceremonial. |

Make recommendation to Council on the appointment of the Beadle and Macebearers. |

| 3 Powers Delegated to the Town Clerk |
| 3.1 |
After consultation with the Chairman or Vice Chairman, in the Chairman’s absence, the approval of expenditure between £1,001 and £3,000 relating to any matter within the Committee’s responsibilities. |
| 3.2 |
The approval of expenditure of £1,000 or less relating to any matter within the Committee’s responsibilities. |
| 3.3 |
The appointment of staff to posts previously approved by the Committee. |
| 3.4 |
The management of staff including matters of pay and conditions delegated by the Committee. |

| 4 Membership |
| 4.1 |
Council shall determine membership of the Committee from time to time. |
| 4.2 |
Membership of the Committee shall comprise nine members. In addition, the Mayor and Deputy Mayor shall also be ex-officio unless either are already a standing member of that Committee. |
| 4.3 |
The Committee may co-opt non voting members on to the Committee with relevant skill, experience and knowledge consistent with these Terms of Reference. |

| 5 Quorum |
| 5.1 |
The Committee shall be quorate when five voting members are present. |
| 5.2 |
f less than five voting members are present, the business may still be transacted but any decision will require ratification by Council. |

| 6 Committee Chairman |
| 6.1 |
The Committee will elect a Chairman and Vice Chairman from their number in accordance with the procedure as specified in Council’s Standing Orders. |
| 6.2 |
If the Chairman is not present, the Vice Chairman will take the meeting. If neither is present, members will elect a Chairman for the meeting from amongst their number. |

| 7 Clerking Arrangements |
| 7.1 |
The Town Clerk will ensure that appropriate clerking arrangements are in hand for the Committee. |
| 7.2 |
The Committee shall keep Minutes of its transactions and shall cause the Minutes to be recorded in books kept for that purpose by Council |

| 8 Frequency and Timing of Meetings |
| 8.1 |
The Committee shall meet not less than four times a year. Meetings shall normally be held at 6.30 p.m. on a Tuesday in the Town Hall. |

| 9 Standing Orders |
| 9.1 |
The Standing Orders of Council will apply to the running of the Committee as appropriate. |
